What are Articles of Association? What are Shareholder Agreements? What are the main differences between the two? The answers to these questions, along with discussions on remedies available to minority shareholders and a company's exercise of statutory powers, are discussed in this course on Articles of Association and Shareholder Agreements.

In this course, you will learn:
That Articles of Association are regulations by which a company's internal affairs are governed.
The nature of Articles of Association as a binding statutory contract.
That Shareholders Agreements are agreements between some or all of the shareholders in a company as to how certain matters are to be governed in a particular company or companies. About the debate over which provisions should appear in the Shareholders Agreement and which in the Articles of Association.
How conflict between the Articles of Association and Shareholder Agreements are resolved.
The remedies available to the Shareholder in the event of conflict between the Articles and the Shareholder Agreement.
The major differences between the Articles and the Shareholder Agreement.
The remedies available to the minority shareholder should irregularities in the conduct of the company arise.

Jeremy Leifer
Tim Sewell, MA, (Oxon) Solicitor, was for many years in charge of the Legal Practice Course at the UK College of Law's Guildford branch. He is an author of the College's resource books on Business Law and Practice and Commercial Law and practice and is an experienced lecturer on many areas of business and commercial law.

Jeremy (jeremy.leifer@deacons.com.hk) is a partner at Deacons, one of Hong Kong's and Asia's leading corporate law firms providing an extensive range of legal services to local and international corporations with business interests in Asia.

Leifer1s main areas of practice are corporate finance (including corporate restructurings, listed company rescues, and takeovers) and corporate and commercial work. His experience includes: direct investment; joint venture/shareholders agreements; acquisitions and disposals (for public and private companies, cross border and domestic); corporate reorganisations; and general corporate work and commercial agreements.

He was admitted to the Supreme Court of England and Wales in 1988 and the High Court of Hong Kong in 1990. Leifer1s educational achievements include the London School of Economics (LLB) and Solicitors Finals (England).
